Platform Structure
ABCD Fund is a Cayman Islands hedge fund platform founded and operated from Bangkok. ABCD Fund is being established as a Cayman Islands Segregated Portfolio Company, with Eclipse Fund and Nova Fund as distinct strategies under the same platform. Bangkok is the origin and operating base for the investment team; the fund domicile is the Cayman Islands.

ABCD Fund's governance principles are designed to support disciplined investment decision-making across the two intended launch funds and any future strategies added after formal approval. Good governance is not a compliance exercise; it is the operational backbone of sound capital management.
These principles address five areas where governance quality directly affects investment outcomes:

- Investor transparency: investor-facing materials clearly distinguish confirmed facts from targets, objectives, and illustrative examples.
- Confident, accurate communication: published materials state facts, objectives, and targets clearly, without overstating certainty or understating risk.
Investment Governance Principles
These five principles define how ABCD Fund governs the investment process, from idea generation through portfolio monitoring and investor communication.
Research Discipline
Investment ideas should be supported by fundamental research, market evidence, valuation analysis, and source review before capital is committed. Conviction without evidence is speculation.
Risk Review
Portfolio decisions should consider drawdown risk, liquidity risk, concentration risk, market cycle risk, and thesis deterioration risk. Risk review is a pre-condition for position sizing, not an afterthought.
Decision Accountability
Investment views should be documented with a clear thesis, identified risk factors, exit logic, and defined review triggers. Documentation is what turns an opinion into a governable position.
Transparency
Investor-facing materials should distinguish between live data, illustrative examples, objectives, targets, and pending verification. Investors are entitled to know what kind of information they are reading.
Responsible Capital Allocation
ABCD Fund should consider long-term business quality, governance risk, sustainability-related risk where material, and downside protection when evaluating investment opportunities. Long-term quality matters to long-term returns.
Responsible Investment Boundaries
ABCD Fund does not currently present itself as an ESG fund manager or active-ownership institution. However, governance quality, sustainability-related risks, regulatory risks, reputational risks, and long-term business durability may be considered when they are financially material to an investment thesis.
